LIMITED PROXY AND APPOINTMENT OF ATTORNEY-IN-FACT

2025 ANNUAL MEMBERS MEETING

The undersigned, as a member of Wynbrooke HOA, Inc., does hereby nominate and appoint the below named person to be My Proxy Agent at the Annual Meeting and any additional meetings held on November 18, 2025, and at any and all adjournments thereof; and to vote my allocated interest in the Association, of which I am entitled to vote.

A. THE SECRETARY OF ASSOCATION. In the event the Secretary of the Association becomes a candidate for election or re-election to the Board of Directors or is not in attendance then that person’s appointment as my proxy shall be revoked and instead the proxy shall be held by “majority” of the Board of Directors.B. DESIGNATED PROXY HOLDER to vote as he/she sees fit.

This Proxy may be revoked by the undersigned at any time (provided I give notice of revocation to the Secretary of the Association) and it shall be deemed to be automatically revoked if the undersigned, personally attends the Annual Meeting.

Below you are granting the Proxy holder general proxy powers, limited Proxy powers, or both general and limited powers. By choosing to grant general powers to your Proxy holder, you are giving them the power to vote at their discretion on any issue that properly comes before the members at the meeting, including the election. By choosing to grant your Proxy holder limited powers you specifically direct the Proxy holder how to vote as to that particular issue, in this case, you will direct your Proxy holder to cast the vote(s) for the candidates you select in the election. If you decide to grant your Proxy holder both general powers and limited powers, then your Proxy holder must vote the limited powers as you specifically direct and the Proxy holder can vote at their discretion as it relates to any other issue that properly comes before the members at the meeting. Please place a “X” mark in either box or both.

By NOT marking “X” in either box, you are directing your Proxy holder to abstain from ALL voting and wish your Proxy to be counted for quorum purpose only.

Resolved, that any excess of Association income over Association expenses are defined in IRS Reg. 1-277-1 for the year ending December 31, 2025, shall be applied against the subsequent tax year member assessments as provided by the IRS Revenue Ruling 70- 604. (a vote for means unused funds will be rolled over to next year)
