INSTRUCTIONS: If you do not plan to be present at the Annual Meeting, to be held at Bees Ferry West Ashley Library, 3035 Sanders Rd., Charleston, SC 29414 on Wednesday, November 20, 2024, it is important that you complete and return this proxy so that a quorum can be obtained.

Please return the completed Proxy no later than November 18, 2024, by 5:00PM and mail to: Jasmine Gate Homeowners Association c/o FirstService Residential, 201 Sigma Dr., Suite 350, Summerville, SC 29486 or by email (preferred) to [email protected].

The Member hereby appoints:    (if left blank the President of the Association will act as your proxy) (the “Proxy”) and proxy with powers of substitution for and in the name and place of the undersigned, to appear, represent, and cast votes at the Annual Meeting as described herein.

I authorize and instruct my Proxy to act only on the two issues being voted on below:

  • Election to the Board of Directors. Two positions are open for election/re-election and will be voted on at the Annual Meeting. The Proxy is authorized to act on my behalf and to cast all votes which the undersigned is entitled to cast at the Annual Meeting on the above designated issue.
  • Removal of a Director. A current director on the Board of Directors has moved to remove Brandon Szmidt from the Board of Directors. Per Section 4.4 of the Bylaws of Jasmine Gate “any director appointed may be removed, either with or without cause, only by the party entitled to appoint the director.” Because Brandon Szmidt was appointed to the Board of Directors by vote of the Members, he may be removed only “by the affirmative vote of a majority of the Members.”

If you would like to review the statements, prior to the Annual Meeting, please log into your Connect account https://jasminegatehoa.connectresident.com/ and you will find the personal statements along with all other important Annual Meeting information located there.  

This Proxy is revocable by the Unit Owner and is valid only for the meeting for which it is given and any lawful adjournment. In no event is the proxy valid for more than ninety (90) days from the date of the original meeting for which it was given.
